License Agreement

1. Agreement
This License Agreement governs your use of CINESLATE, including the desktop application, Quickboard Lite, related websites, license services, shared-link tools, updates, documentation, and online services. By downloading, installing, accessing, or using CINESLATE, you agree to this Agreement.
2. License Grant
Subject to this Agreement, CINESLATE grants you a limited, non-exclusive, non-transferable, revocable license to install and use the software and services for your own creative, production, or business workflow. This is a license, not a sale. CINESLATE and its licensors keep all rights not expressly granted to you.
3. Trial, Free, And Paid Plans
CINESLATE may offer free, trial, paid, subscription, lifetime, studio, or business plans. Features, export options, watermarks, seats, storage, shared-link access, and usage limits may differ by plan. Trial or free access may be changed, limited, suspended, or ended at any time. Paid access remains subject to successful payment, license validation, and compliance with this Agreement.
4. Accounts, Activation, And Seats
You may need an account, serial key, license token, or online activation to use some features. A license may include a limited number of seats or activated devices. You are responsible for keeping account credentials and license keys secure. You may not share, sell, publish, or misuse license keys or activation tokens.
5. Ownership Of Your Content
You keep ownership of projects, boards, images, videos, notes, text, and other content you create or import. You are responsible for having the rights needed to use that content. When you use online features such as shared links, uploads, feedback, or support, you give CINESLATE the limited rights needed to host, process, display, transmit, troubleshoot, and provide those features.
6. Restrictions
- You may not copy, resell, rent, lease, sublicense, distribute, or provide CINESLATE as a hosted service except as allowed by your plan or by written permission.
- You may not reverse engineer, decompile, modify, bypass, disable, or interfere with license checks, watermarks, feature limits, security controls, or usage limits, except where applicable law expressly allows it.
- You may not remove copyright, trademark, license, or proprietary notices.
- You may not use CINESLATE to upload malware, infringe rights, harass others, violate law, or publish content you do not have permission to use.
- You may not overload, scrape, attack, or attempt unauthorized access to CINESLATE servers or accounts.
7. Updates And Online Services
CINESLATE may provide updates, patches, downloads, analytics, account services, license validation, AI-assisted tools, shared links, Quickboard Lite, and other online services. Some features require internet access and may change over time. We may modify, pause, or discontinue features when needed for security, maintenance, legal, business, or product reasons.
8. Shared Links And Quickboard Lite
If you create shared links or use Quickboard Lite, you are responsible for the content you upload, link, export, or share. Shared links may have access settings, expiration dates, download settings, comments, and analytics. Do not share confidential or third-party content unless you have the right to do so.
9. Payments, Subscriptions, And Refunds
Payments may be handled by third-party payment providers. Subscription plans may renew until canceled according to the checkout terms shown at purchase. Taxes, currency conversion, payment failures, refunds, and cancellation handling may depend on the payment provider and applicable law. Unless a separate written refund policy or mandatory law says otherwise, fees are not guaranteed to be refundable.
10. Third-Party Services And Components
CINESLATE may use third-party services, libraries, fonts, media tools, payment providers, hosting providers, or open-source components. Those components may be subject to separate terms or licenses. Third-party services are responsible for their own products and services.
11. Termination
You may stop using CINESLATE at any time. We may suspend or terminate access if you violate this Agreement, misuse licenses, fail to pay, create security risk, or use the product unlawfully. After termination, you must stop using the software and services, but sections that by nature should continue will remain in effect.
12. Disclaimers
CINESLATE is provided "as is" and "as available" to the maximum extent permitted by law. We do not promise that the software or services will be uninterrupted, error-free, compatible with every device, or suitable for every production workflow. Your mandatory consumer rights, if any, are not limited by this Agreement.
13. Limitation Of Liability
To the maximum extent permitted by law, CINESLATE will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, production delays, or business interruption. Where liability cannot be excluded, it will be limited to the amount you paid for CINESLATE during the 12 months before the claim, unless applicable law requires otherwise.
14. Export And Legal Compliance
You must comply with laws that apply to your use of CINESLATE, including export control, sanctions, intellectual property, privacy, and data protection laws. You may not use CINESLATE where doing so is prohibited by law.
15. Changes To This Agreement
We may update this Agreement when the product, plans, services, or legal requirements change. The updated version will show a new last updated date. Continued use after an update means you accept the updated Agreement.
